Learn MoreThese Terms of Use (“Terms“) govern your access to and use of the Quartet platform, mobile applications, and related hosted services (collectively, the “Solution“) made available by Quartet, Inc. (“Quartet” or the “Company“). You are accessing the Solution through an arrangement between Quartet and an organization with which you are affiliated (the “Customer“). By using the Solution, you agree to be bound by these Terms. If you do not agree, do not use the Solution.
By accessing or using the Solution, you represent that you have read, understood, and agree to these Terms. Quartet may update these Terms at any time. For material changes, Quartet will notify users by in-app notice or email before the changes take effect. Continued use of the Solution after an update constitutes acceptance of the revised Terms. The current version is available at www.quartethealth.com/terms-of-service/.
You must be at least 13 years of age to use the Solution. For purposes of these Terms, ‘minor’ refers to individuals who are at least 13 but under 18 years of age. The Customer is responsible for determining whether minor users may access the Solution under applicable law and for obtaining any required parental or guardian consent before enrollment. Quartet relies on the Customer having satisfied those requirements prior to your registration. If you are a parent or guardian agreeing to these Terms on behalf of a minor, you accept these Terms on the minor’s behalf and are responsible for the minor’s use of the Solution.
For patients and individuals accessing the Solution through the patient-facing app, the Solution provides behavioral health care management tools, including but not limited to measurement-based care assessments, digital cognitive behavioral programs, and mental health resources.
For providers and care teams accessing the Solution through the provider-facing portal, the Solution provides tools for patient monitoring, care coordination, clinical documentation support, and population health management.
The Solution is not a medical device, treatment, or substitute for professional medical care. It does not provide medical advice and should not be used by patients and end users in place of treatment by a licensed professional. Quartet is not responsible for any clinical outcomes or patient care decisions made in connection with use of the Solution.

This Section applies to patients and individuals accessing the Solution through the patient-facing app.
Based on your activity and assessment responses, you may receive outreach from Quartet or your organization via email, phone, SMS, or in-app notification for care coordination purposes, including enrollment in integrated or collaborative care programs or coordination with emergency services. Quartet is not a crisis or emergency service.
SMS/Text Consent. By providing your mobile number and using the Solution, you consent to receive SMS messages from Quartet related to your care coordination. Message and data rates may apply. You may opt out at any time by replying STOP to any SMS message or contacting Quartet at [email protected].
To use the Solution, you must create an account and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Quartet promptly of any unauthorized access to your account. Quartet may monitor use of the Solution to ensure compliance with these Terms and applicable law.
Subject to these Terms and the Master Services Agreement between Quartet and the Customer, Quartet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Solution solely for your authorized use in connection with the Customer’s engagement with Quartet. Except as expressly permitted in these Terms, you may not copy, modify, distribute, reverse engineer, decompile, or create derivative works from any part of the Solution, or use the Solution to build a competitive product or service.
Your use of the Solution is governed by Quartet’s Privacy Policy, available at www.neuroflow.com/privacy-policy, which is incorporated into these Terms by reference.
Data License. By using the Solution, you grant Quartet a non-exclusive, limited license to use your data and content, including Protected Health Information (“PHI“), solely to provide the Solution in accordance with these Terms, Quartet’s Privacy Policy, and any applicable Business Associate Agreement. Quartet may de-identify, anonymize, and aggregate your data to generate Quartet Data for analytics, research, product improvement, benchmarking, and other business purposes, consistent with applicable law. Quartet Data does not identify you individually.
HIPAA. The Solution involves the exchange of PHI. Quartet acts as a Business Associate under HIPAA with respect to PHI it processes on behalf of the Customer. The Customer’s Notice of Privacy Practices governs the use and disclosure of your PHI to the extent required by HIPAA. Your HIPAA rights, including rights of access, amendment, and accounting of disclosures, run through the Customer as the Covered Entity. Please direct any such requests to the Customer, not to Quartet.
42 CFR Part 2. If the Solution is used in connection with substance use disorder (“SUD”) treatment programs, certain information may be subject to the confidentiality protections of 42 CFR Part 2. Quartet will not use or disclose such information except as permitted by applicable law and with your consent where required.
State Mental Health Privacy Laws. Certain states impose additional confidentiality protections on mental health records beyond those required by HIPAA, including restrictions on the use and disclosure of psychotherapy notes, mental health treatment information, and related records. Quartet will comply with applicable state mental health privacy laws in connection with your use of the Solution.
The Solution and all content, features, and functionality are owned by Quartet and protected by applicable intellectual property laws. These Terms do not transfer any ownership interest in the Solution to you. You retain ownership of content you submit through the Solution, subject to the data license granted in Section 7. Any feedback you provide to Quartet may be used by Quartet without restriction or compensation to you.
You agree not to use the Solution to:
Quartet may suspend or terminate your access to the Solution at any time, consistent with the terms of the Master Services Agreement between Quartet and the Customer, including if Quartet reasonably believes you have violated these Terms. You may close your account by providing 10 days’ written notice to [email protected]. If the Customer’s agreement with Quartet expires or terminates, your access to the Solution will also end. Please contact your organization if you have questions about the status of that relationship. Following termination, Quartet will retain individually identifiable data for up to 90 days to facilitate access, after which it will be handled in accordance with Quartet’s data retention obligations and applicable law.
The Solution may contain links to third-party websites or services. Quartet does not control or endorse those resources and is not responsible for any loss or damage arising from their use.
THE SOLUTION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. QUARTET EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND ACCURACY. QUARTET DOES NOT WARRANT THAT THE SOLUTION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL CODE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SOLUTION IS AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, QUARTET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR DEVICE DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOLUTION, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT QUARTET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
QUARTET’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SOLUTION WILL NOT EXCEED ONE THOUSAND UNITED STATES DOLLARS (US $1,000).
NOTHING IN THESE TERMS LIMITS QUARTET’S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, BREACH OF ITS CONFIDENTIALITY OR DATA PRIVACY OBLIGATIONS, OR AS OTHERWISE REQUIRED BY APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless Quartet and its officers, directors, employees, agents, licensors, successors, and assigns from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; or (b) your willful misconduct in connection with your use of the Solution.
You may not assign or transfer your rights under these Terms without Quartet’s prior written consent. Any attempted assignment in violation of this Section is void. Quartet may freely assign these Terms.
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Solution will be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You consent to personal jurisdiction in those courts.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
No Waiver. Quartet’s failure to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision in the future.
Entire Agreement. These Terms, together with Quartet’s Privacy Policy and the Master Services Agreement between Quartet and the Customer, constitute the entire agreement between you and Quartet regarding your use of the Solution and supersede all prior agreements on that subject.
No Third-Party Beneficiaries. These Terms are for the benefit of you and Quartet only and do not create any rights in any third party.
